Article
I. The Organization
The
name of the organization is “The International Association
of Chinese Management Research” (herein referred to as
IACMR). IACMR is a not-for-profit organization.
Article
II. Objectives
The
objectives of IACMR are to foster the development of global
management knowledge and advance the education and professional
standards in the field of international business by:
1.
Providing a forum for exchange of ideas and experience
among researchers about management research in the Chinese
contexts.
2.
Facilitating international collaborations between management
researchers around the globe.
3.
Promoting the development of management research capabilities
IN China.
4.
Promoting the development of management research capabilities
ON China.
Chinese
management is broadly defined as management of:
1.
Chinese organizations operating on the Chinese mainland
2.
Chinese businesses operating outside of the Chinese mainland
3.
Multinational corporations operating in any of the Chinese
contexts
Article
III. Membership
Membership
shall be open to those individuals actively engaged in
teaching, research, or business related to Chinese management,
who have demonstrated interests and capacities in furthering
the objectives of the Association.
Ordinary
membership consists of two types: Regular and Student.
Regular members are professors and practitioners who have
made contributions to Chinese management practice or theory
or who are directly interested in Chinese management research.
They will pay full annual dues. Student members are students
who are actively engaged in a Ph.D. or master’s program
and who are interested in Chinese management. They will
pay lesser dues, as specified in the Bylaws. Also,
student membership status is limited to a maximum of five
years. Both types of membership will have full voting
rights and are similar in all respects, except dues and
limit to the length of student status. Membership in IACMR
is available to all individuals meeting the above criteria
regardless of race, ethnicity, nationality, gender, language,
or religious and political beliefs. IACMR does not
offer institutional membership.
Subject
to the criteria above, either of the following constitutes
admission to membership in IACMR:
1.
Registration for and attendance at the bi-annual conference
meeting of IACMR.
2.
Yearly payment of annual membership dues to IACMR.
Article
IV. Meetings
The
bi-annual conference meeting of IACMR will be held at
the time and place determined by the Executive Committee
beginning in 2003.
The
annual business meeting will be held at the time and place
determined by the Executive Committee, though usually
it will be held at the same time and location as the Annual
Academy of Management Meeting.
Article
V. Governance
V.1 Officers
1.
The President is the
Past Senior Vice-President and is responsible for the overall guidance
of IACMR and for guiding and coordinating the activities
of the other officers and committees named in the Constitution
and Bylaws. The president is responsible to present a
report of the status and progress of IACMR at the annual
Business Meeting. The president serves as the chair of
the Executive Committee and, with the advice of other
officers, appoints the chairs of various standing committees
and any ad hoc committees that are deemed appropriate.
2.
Senior Vice-President is the Past Program Vice-President and is
expected to succeed the President, as ex officio of the
Program Committee for the following bi-annual conference.
3.
The Vice-President & Program Chair will serve as program chair for
the bi-annual
conferences sponsored by IACMR.
4.
The Program Co-Chair is selected by the
Executive Committee to work with the current Program Vice-President to coordinate the activities of the bi-annual
conference. Typically, the Program Co-Chair
will be a member of one of the universities hosting the
bi-annual conference.
5.
The Representatives at Large represent the interests of
the membership at large. There shall be no more
than one Representative at Large from each of the four
broad regions of: the Americas, Asia Pacific, Europe,
and the Chinese mainland.
6.
The Executive Secretary/Treasurer performs the duties
that are assigned by the president. Normally, the secretary/treasurer
is an administrative person who is responsible for keeping
the financial records of IACMR, as well as the minutes
of all business meetings of IACMR and the Executive Committee
meetings. He/she is responsible to maintain a copy of
the IACMR Program and keep records on awards given by
IACMR. Additionally, the secretary/treasurer performs
any other duties that pertain to the office.
V.2 Standing Committees
1.
The Executive Committee will be comprised of nine members
consisting of seven elected officers—President, Senior
Vice-President, Vice-President & Program Chair, and four Representatives at Large—and
two appointed officers—Program Co-Chair
and Executive Secretary/Treasurer. The Executive Committee
is responsible for the governance of IACMR under the guidance
of the President. All officers have voting rights on the
decisions concerning IACMR. Formal motions will be approved
at the annual meeting of the Executive Committee to be
held each year at the site of the annual business meeting
of IACMR or by email.
2.
The Academic Advisory Board is comprised of a minimum
of 12 members representing distinguished scholars from
various constituencies. The Executive Committee appoints
the Academic Advisory Board members. This Advisory
Board may be consulted as needed to provide guidance concerning
important issues affecting IACMR.
3.
The Conference Committee is responsible for organizing
the bi-annual conference, including the preparation of
the Call for Papers, the review of submissions, and the
Conference Program. The Conference Committee chair
appoints the committee members based on input from the
Executive Committee and volunteers from the membership.
4.
The Local Arrangement Committee is responsible for organizing
the local operational aspects of the bi-annual conferences
sponsored by IACMR. Normally this committee is composed
of faculty members and/or employees of the host institution(s).
The chair of the committee, appointed by the Executive
Committee, will be the Program Co-Chair.
5.
The Membership Committee is responsible for maintaining
an electronic listing of all IACMR members and all those
who may be interested in the activities of IACMR. This
committee is responsible for developing strategies to
attract and maintain membership. This committee
is composed of a minimum of three members.
6.
The Communications and Information Committee is responsible
for maintaining a web page, IACMR newsletter, and other
information appropriate for dissemination purposes, conduct
surveys as needed. This committee is composed of a minimum
of three members.
7.
The Research Committee is responsible for promoting and
facilitating scholarship among academics doing Chinese
management research. This committee is responsible for
advancing research opportunities in China for members,
and organizing research workshops during the bi-annual
conference or times in between the bi-annual conference.
8.
The Awards Committee is responsible for proposing awards
(such as "best conference paper" award, "best
article" award, "career achievement" award,
and the like) to the Executive Committee for approval.
This committee develops the process of nominating and
selecting award winners. This committee is composed
of a minimum of five members.
9.
The Publications Committee is responsible for the development
and maintenance of the journal and other publications
of IACMR. It consists of the senior editors of the Journal
and one member of the Executive Committee. Major
new policies (e.g., new sponsorships), policy changes
(e.g., the number of issues of the journal), or new publications
will need the approval of the Executive Committee.
10.
IACMR Journal Editor Selection Committee is responsible
to periodically select and/or retain the Editor. The Editor
is selected for a four-year term that may be renewed once
at the discretion of the committee. The committee is also
responsible to evaluate the performance of the Editor
and the Senior Editors. The committee will consist of
the members of the Executive Committee and one representative
from each sponsoring university of the Journal. The immediate
Past-President of IACMR will chair this committee.
Article
VI. Election and Tenure of Officers
The
IACMR membership will elect in April/May of the
appropriate election year a Vice-President & Program Chair
and four Representatives at Large, beginning in 2004.
The
Vice-President & Program Chair will serve a two-year term in that
capacity. At the conclusion of his/her term the
Vice-President & Program Chair will become the Senior Vice-President for a subsequent two-year term. At the
conclusion of this two-year term, the Senior Vice-President will become President and serve a two-year term
in this capacity. Thus, the Program-Chair will succeed
to the Senior Vice-President position and subsequently to
the position of President, serving as an officer in these
three positions for a total of six years. Upon completion
of this service, the President will receive the
designation of Past President. Should an individual
serving in one of these three offices not be able to
complete the tenure of these three successive executive
positions, the other two officers will be promoted, as
appropriate, to fill the departed officer’s position for
the remainder of the departed officer’s term, as well as
remaining in these positions to serve the promoted
individual’s regular term. A special election will be
called to elect a new VP & Program Chair-Elect. The similar
procedure will apply if two officers depart simultaneously
with a VP & Program Chair-Elect and a Senior VP being elected.
Should all three officers depart simultaneously, a special
election will be help to elect a new VP & Program
Chair-Elect, a
Senior VP and President. Special elections should be
conducted in a manner that is expedient, but that allow
time to follow the designated procedures for an election.
Typically, a special election should be conducted within
eight weeks of its need becoming known.
Representatives-at-Large
will serve a two-year term and may serve a maximum of two
consecutive terms.
Article
VII. Rule of Order
Business
meetings of the IACMR are conducted in accordance with
Robert’s Rules of Order.
Article
VIII. Amendments of the Constitution
This
Constitution and Bylaws may be amended by a two-thirds
vote of the members present at an Annual Business meeting,
or at any time by a majority vote of all members voting
through an email ballot sponsored by the Executive Committee.
Article
IX. Dissolution of the Association
Upon the dissolution of the association (IACMR), the Board
of Trustees shall, after paying or making provisions for
the payment of all liabilities of the association in such
manner, or to such organization or organizations organized
and operated exclusively for charitable, educational,
religious, or scientific purposes as shall at the time
qualify as an exempt organization or organizations under
section 501(c) 3) of the Internal Revenue Code of 1989 (or
the corresponding provision of any future United States
Internal Revenue Law) as, the Board of Trustees shall
determine. Any such assets not so disposed of shall be
disposed of by the Court of Common Pleas of the country in
which the principal office of the association is then
located, exclusively for such purposes or to such
organization or organizations, as said court shall
determine, which are organized and operated exclusively
for such purposes.
